Welcome to KEMBR (“KEMBR,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your access to and use of the KEMBR website, software applications, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

1.Eligibility

You must be at least 18 years of age and legally capable of entering into binding agreements to use the Services.

If you access or use the Services on behalf of a business or other organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2.User Accounts

Certain features of the Services require you to create an account.

You agree to:

  • Provide accurate and complete information.
  • Keep your login credentials secure and confidential.
  • Promptly update your account information when necessary.
  • Notify us immediately of any unauthorized use of your account.

You are responsible for all activities that occur under your account.

3.Use of the Services

KEMBR provides software that enables organizations to onboard new hires, assign and track trainings and SOPs, manage leave and time off, run referral and benefits programs, and maintain audited employee records.

You agree to use the Services only for lawful business purposes and in accordance with these Terms.

4.Prohibited Conduct

You agree not to:

  • Violate any applicable laws or regulations.
  • Attempt to gain unauthorized access to the Services or related systems.
  • Upload or distribute malicious software or harmful code.
  • Interfere with or disrupt the operation of the Services.
  • Reverse engineer, decompile, or attempt to extract the source code of the Services, except where permitted by law.
  • Use the Services to send spam, fraudulent communications, or misleading information.
  • Impersonate another individual or organization.

5.Subscription Plans and Payments

Certain features of the Services may require a paid subscription.

By purchasing a subscription, you agree to:

  • Pay all applicable fees.
  • Provide valid and current payment information.
  • Authorize recurring charges where applicable.

Unless otherwise required by law, subscription fees are non-refundable.

We reserve the right to change our pricing or subscription plans at any time upon reasonable notice.

6.Intellectual Property

All software, content, trademarks, logos, graphics, documentation, and other materials available through the Services are owned by or licensed to KEMBR and are protected by applicable intellectual property laws.

These Terms do not grant you ownership of any intellectual property rights.

You may not copy, reproduce, distribute, modify, publish, or create derivative works from any part of the Services without our prior written permission.

7.User Content and Customer Data

You and your organization retain ownership of any information or content submitted through the Services, including employee records, onboarding documents, and uploaded files.

By submitting content, you grant KEMBR a limited, non-exclusive, worldwide, royalty-free license to use, store, process, and display that content solely for the purpose of operating, maintaining, and improving the Services.

You are responsible for ensuring that your content does not violate any applicable law or the rights of others.

8.Data Protection

Each organization using KEMBR is responsible for the lawfulness of the personal data it submits to the Services, including obtaining any required consents from its employees, contractors, and candidates.

KEMBR processes personal data as described in our Privacy Policy.

9.Service Availability

We strive to provide reliable and uninterrupted access to the Services; however, we do not guarantee continuous availability.

The Services may occasionally be unavailable due to maintenance, updates, technical issues, or circumstances beyond our reasonable control.

10.Termination

We may suspend or terminate your access to the Services if:

  • You violate these Terms.
  • We suspect fraudulent, unlawful, or abusive activity.
  • Continued access may harm the Services or other users.
  • We are required to do so by law.

You may discontinue your use of the Services at any time.

Termination does not affect any rights or obligations that accrued before the termination date.

11.Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, KEMBR disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Services will be uninterrupted, secure, accurate, or error-free.

12.Limitation of Liability

To the fullest extent permitted by applicable law, KEMBR and its affiliates, officers, directors, employees, agents, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to your use of the Services.

Our total liability for any claim arising from these Terms or your use of the Services shall not exceed the amount you paid to KEMBR for the Services during the twelve (12) months preceding the event giving rise to the claim, or one hundred U.S. dollars (US$100), whichever is greater, unless otherwise required by applicable law.

13.Indemnification

You agree to indemnify, defend, and hold harmless KEMBR, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services.
  • Your violation of these Terms.
  • Your violation of any applicable law.
  • Your infringement of any third-party rights.

14.Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles.

Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts having appropriate jurisdiction in the United States, unless otherwise required by applicable law.

15.Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices.

Any revised Terms become effective upon posting with a new Effective Date. Your continued use of the Services after the revised Terms are posted constitutes your acceptance of those changes.
